OFFICIAL RULES
These Official Rules ("Official Rules") govern the Grow with Gusto Contest (the "Contest"). Participation constitutes each participating firm's full and unconditional agreement to these Official Rules and to the decisions of Gusto, Inc. ("Sponsor"), which are final and binding in all matters relating to the Contest. To win a prize, an Eligible Firm must satisfy all requirements set forth herein.
1. Sponsor
Gusto, Inc. ("Sponsor" or "Gusto"), 525 20th Street, San Francisco, CA 94107.
2. Eligibility
The Contest is open only to accounting firms that, at all relevant times, meet all of the following requirements (each, an "Eligible Firm"):
Is an active partner enrolled in the Gusto Pro program and managed under that program;
Is located and incorporated in the United States;
Is in good standing with Gusto (meaning the firm's Gusto Pro account is active, current on all amounts owed to Sponsor, and not subject to any suspension, restriction, or termination) as of June 23, 2026 and remains in good standing continuously throughout the Promotion Period; and
Participates through an owner or other individual duly authorized to act on behalf of the firm.
Employees, contractors, directors, and officers of Sponsor and its parents, subsidiaries, and affiliated companies, and the advertising, fulfillment, and promotion agencies involved in the development and administration of this Contest (collectively, the "Promotion Parties"), and their immediate family members and members of their households, are not eligible. Void outside the United States and where prohibited by law.
3. Promotion Period
The Contest begins at 12:00 a.m. Pacific Time ("PT") on June 24, 2026 and ends at 11:59 p.m. PT on July 31, 2026 (the "Promotion Period"). Sponsor's computer and Salesforce records are the official timekeeping devices for the Contest.
4. How to Participate; Qualifying Adds and Winner Tracks
No registration is required. Each Eligible Firm is automatically considered based on its qualifying client adds tracked in Sponsor's Salesforce system during the Promotion Period. The Contest has two (2) separate winner tracks, each with its own definition of a qualifying add and its own ranking. A firm may place in either or both tracks; the minimum threshold to qualify for any prize is ten (10) qualifying adds in the applicable track.
Track 1 — Opportunity Creation. A qualifying addition is a Salesforce Client Opportunity that (a) is created via the "Added by Firm" source in Salesforce; (b) is associated with the Eligible Firm's firm account; and (c) has a creation date during the Promotion Period. A thirty (30)-day trailing window through August 31, 2026 allows qualifying opportunities created on or before July 31, 2026 to reach closed-won status and run a first payroll, confirming the add is genuine. Winners in this track are ranked by total qualifying opportunities created during the Promotion Period that satisfy the foregoing conditions.
Track 2 — First Payroll. A qualifying addition is a net new client that runs its first payroll in Gusto during the Promotion Period. Winners in this track are ranked by total qualifying first-payroll completions during the Promotion Period.
Net new client. In both tracks, a qualifying add must be a net new client with a federal Employer Identification Number (EIN) that has not previously been used on Gusto. Adds tied to an EIN with any prior Gusto history do not qualify. All adds are subject to verification by Sponsor, and Sponsor reserves the right to exclude any add that is duplicative, fraudulent, reversed, refunded, charged back, or that does not reflect a genuine, active client, as determined by Sponsor in its sole discretion.
5. Winner Determination and Tie-Breaker
Following the close of the Promotion Period (and, for Track 1, the close of the trailing window), Sponsor will determine the winners based on the rankings described above, as confirmed by RevOps. There will be four (4) total winners — the top two (2) Eligible Firms in each track — provided each meets the ten (10)-add minimum in the applicable track. If fewer than two firms in a track meet the minimum, Sponsor may award fewer prizes in that track.
Tie-Breaker. If two or more firms are tied within a winner track, the prize will be awarded to the firm that reached the tied total first, as determined by the timestamp of the qualifying event in Salesforce. RevOps will administer tie-breaking using Salesforce record timestamps. Sponsor's determinations are final and binding in all matters relating to the Contest.
6. Prize
Each winning firm will receive $2,500 in co-marketing funds, payable as reimbursement against documented, eligible co-marketing spend through Sponsor's Market Development Funds (MDF) program. Four (4) prizes are available (two per track), for a total prize pool of $10,000. Each individual prize has a value of $2,500 (under $5,000).
To receive the prize, a winning firm must:
Select an eligible co-marketing activity. Eligible co-marketing activities are: (1) sponsorship of a firm-hosted webinar (e.g., hosting-platform costs, speaker fees); (2) sponsorship of a client-facing industry event; (3) funding for client-facing micro-events, in person or digital (e.g., VIP dinner, happy hour, round table); (4) attendance at, and where applicable travel to, accounting-industry events; and (5) a Gusto swag pack or gift basket for newly converted clients;
Fund the selected activity upfront;
Submit a completed and accurate IRS Form W-9 before any reimbursement is issued;
Submit the claim form (once made available by Sponsor) together with supporting documentation**, including itemized receipts for the eligible spend,** for reimbursement through Sponsor's procurement system (Zip); and
Submit the reimbursement claim within one hundred eighty (180) days of winner notification. Claims not submitted within this period, or not supported by required documentation, are forfeited.
Reimbursement is provided only for eligible activities actually incurred and documented in accordance with the MDF program guidelines. No substitution, cash redemption, or transfer of the prize is permitted except at Sponsor's sole discretion. Unclaimed or forfeited prizes will not be awarded or re-allocated. The prize is provided "AS IS" without any express or implied warranty.
7. Taxes
Each winning firm is solely responsible for all federal, state, and local taxes, if any, associated with its prize, and for any reporting obligations applicable to the firm. Sponsor will issue any tax forms it determines are required by law.
8. Winner Verification and Notification
All potential winners are subject to verification of eligibility and compliance with these Official Rules and remain potential winners until verified. Sponsor will notify potential winners following winner confirmation. Sponsor may require a potential winner to confirm eligibility and, where applicable, to complete and return reasonable documentation within the time specified by Sponsor. Failure to respond, failure to return required documentation, return of a notification as undeliverable, or a determination that a firm is ineligible or not in compliance with these Official Rules may result in disqualification and forfeiture of the prize, in which case Sponsor may select the next-highest-ranked Eligible Firm in the applicable track.
9. Independent Judgment; No Effect on Client Obligations
Prize funds are disbursed to the partner firm as co-marketing reimbursement. Firms independently determine how to allocate funds in accordance with Sponsor's co-marketing guidelines. Participation in this Contest does not create any exclusive dealing obligation and does not affect the partner's independent professional obligation to act in its clients' best interests.
10. General Conditions
This Contest is subject to all applicable federal, state, and local laws and regulations. Void where prohibited. By participating, each Eligible Firm agrees to be bound by these Official Rules and the decisions of Sponsor, which are final and binding in all matters relating to the Contest. Sponsor's failure to enforce any provision of these Official Rules does not constitute a waiver of that provision.
Sponsor reserves the right, in its sole discretion, to disqualify any firm it believes has tampered with the operation of the Contest, has acted in violation of these Official Rules, or has acted in an unsportsmanlike or disruptive manner. Sponsor reserves the right, in its sole discretion, to modify, suspend, or terminate the Contest (or to adjust the Promotion Period or measurement methodology) if any fraud, technical failure, error in administration or tracking, or other factor beyond Sponsor's reasonable control impairs the integrity or proper functioning of the Contest, and in such event to determine winners from qualifying adds recorded up to the time of the impairment. CAUTION: Any attempt to deliberately undermine the legitimate operation of the Contest may violate criminal and civil law; should such an attempt be made, Sponsor reserves the right to seek remedies to the fullest extent permitted by law.
11. Release and Limitation of Liability
By participating in this Contest, each Eligible Firm agrees to release, discharge, and hold harmless the Promotion Parties from and against any and all liability, loss, or damages arising out of participation in this Contest or the acceptance, receipt, use, or misuse of any prize. Each participating firm waives all rights to claim punitive, indirect, incidental, and consequential damages, attorneys' fees, or any damages other than actual out-of-pocket costs incurred, and waives all rights to have damages multiplied or otherwise increased.
12. Disputes; Governing Law
By participating, each firm agrees that any and all disputes, claims, and causes of action arising out of or connected with this Contest or any prize shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in the County of San Francisco, California. All issues concerning the construction, validity, interpretation, and enforceability of these Official Rules shall be governed by the internal laws of the State of California, without regard to conflict-of-law principles. If any provision of these Official Rules is held invalid or unenforceable, the remaining provisions remain in effect. In the event of any discrepancy between these Official Rules and any Contest-related communication or marketing material, these Official Rules control.
13. Publicity
Except where prohibited by law, acceptance of a prize constitutes permission for Sponsor and its agencies to use the winning firm's name, logo, and the fact of its participation for advertising and publicity purposes without further compensation or notice. Any use of the winning firm's quotes, testimonials, statements, or client-facing stories will be subject to a separate written consent obtained from the firm at or after notification.
14. Terms and Privacy
Participation in this Contest is subject to the Gusto Terms of Service (https://gusto.com/about/terms) and the Gusto Privacy Policy (https://gusto.com/about/privacy). In the event of any conflict between these Official Rules and the Gusto Terms of Service or Privacy Policy, these Official Rules control with respect to the Contest.
15. Winners' List
The names of the winning firms may be made available following winner verification. To request a list of winners, please email [email protected].
