New Business Formation Survey Sweepstakes - Terms and Conditions

1. Eligibility
The New Business Formation Survey Sweepstakes (the “Promotion”) is open only to legal residents of the 50 United States and the District of Columbia (“D.C.”) who are 18 years of age or older and who complete the New Business Formation Survey (“Survey”) during the Promotion Period as defined below. Employees, contractors, directors, and officers of Gusto, Inc. (“Sponsor”) and its parents, subsidiaries, affiliated companies, retailers, dealers, distributors, advertising and fulfillment agencies, judging agencies, and each of their respective officers, directors, employees, and agents (collectively, “Promotion Parties”), as well as immediate family members (parent, child, sibling, and spouse) and household members (whether related or not), are not eligible. Only participants who receive an invitation that includes the sweepstakes offer and who complete and submit the Survey during the Promotion Period and provide their name and email may enter the Promotion. Participants who receive communications that do not include the sweepstakes offer are not eligible to enter the Promotion under any circumstances.
As an alternative means of entry, individuals may enter the Promotion without completing the Survey by mailing their name and email address on a plain 3x5 card to: Gusto Insights Group, Gusto, Inc., 525 20th Street, San Francisco, CA 94107. Mail-in entries must be postmarked and received by the closing date of the Promotion Period (or by the Early Closure date, if applicable) to be eligible. Mail-in entrants must otherwise meet all eligibility requirements set forth in these Official Rules.
2. Promotion Period
The Promotion begins at 8:00 AM Pacific Time (“PT”) on January 26, 2026 and ends no later than 11:59 PM PT on February 23, 2026 (the “Promotion Period”). Sponsor reserves the right, in its sole discretion, to end the Promotion early at 11:59 PM PT on February 8, 2026 (“Early Closure”). If Early Closure occurs, only Surveys submitted and/or mail-in entries postmarked and received before 11:59 PM PT on February 8, 2026 will qualify as entries. Surveys submitted after Early Closure will not be considered Promotion entries. The Promotion will not continue after Early Closure even if survey fielding continues for research purposes.
3. How to Enter
To enter, eligible participants must complete and submit the Survey during the Promotion Period (as determined by the actual closure time) and provide their name and email address in the fields designated for sweepstakes entry. Limit one entry per person/email address. Entries that are incomplete, inaccurate, not received, or that otherwise fail to comply with these Official Rules will not be entered into the Promotion. Entries submitted after Early Closure (if applicable) will not be accepted. Automated entries, duplicate entries, or entries submitted through third-party services are prohibited. All entries become the property of Sponsor and will not be acknowledged or returned.
Individuals may also enter the Promotion without completing the Survey by submitting a mail-in entry as described in Section 1. All mail-in entries postmarked and received by 11:59 PM PT on the date the Promotion closes (or by the Early Closure cutoff, if applicable) will be treated as a single entry and will have the same odds of winning as any entry submitted via completion of the Survey. No method of entry will be given preferential treatment, and all eligible entries, regardless of method, will be included in the same random drawing.
4. Winner Selection & Odds
Within 15 business days after the Promotion Period ends, Sponsor will randomly select nine (9) potential winners from all eligible entries received during the Promotion Period. Random selection will be conducted using an electronic random-number generator. Odds of winning depend on the total number of eligible entries received. Potential winners are subject to verification of eligibility and compliance with these Official Rules. Winners will be notified via the email address submitted with their entry.
5. Prizes; Approximate Retail Value
Each winner will receive one (1) $500 electronic gift card, distributed by Sponsor through its research vendor, Great Question. Total Approximate Retail Value (“ARV”) of all prizes: $4,500. No substitution, cash redemption, or transfer of prizes is permitted except at Sponsor’s discretion. Sponsor may substitute a prize of equal or greater value if the advertised prize becomes unavailable. Winners are responsible for all federal, state, and local taxes and any other costs associated with acceptance or use of a prize. Unclaimed prizes will not be awarded. Use of gift cards is subject to the terms and conditions of the issuer. Limit one prize per person/email/household.
6. General Rules
All federal, state, and local laws apply. Sponsor may require potential winners to sign and return an affidavit of eligibility, liability release, and publicity release (where lawful). Failure to return required documents within the stated time or the return of any email notification as undeliverable may result in disqualification. Sponsor and Promotion Parties are not responsible for: (i) lost, late, stolen, incomplete, illegible, or misdirected entries; (ii) technical issues including failures of phone networks, computer systems, servers, providers, hardware, software, or internet connections; (iii) destruction of or unauthorized access to entry records; (iv) errors in advertising or administration; or (v) cheating, fraud, or tampering. If the Promotion is compromised by virus, fraud, unauthorized intervention, technical failures, or any cause affecting the security, fairness, or integrity of the Promotion, Sponsor may cancel or modify the Promotion. If canceled before the stated end date, Sponsor will select winners from among all eligible, non-suspect entries received as of the Early Closure or cancellation time. Participants who receive any alternative incentive offered by Sponsor after Early Closure are not eligible for the Promotion, and eligibility for an alternative incentive does not confer eligibility for the Promotion.
7. Release & Waiver
By participating, entrants release and hold harmless Sponsor and Promotion Parties from any and all liability, injuries, losses, or damages arising from participation in the Promotion or acceptance/use of any prize. Entrants waive all rights to claim punitive, incidental, consequential, or any other damages beyond actual out-of-pocket costs.
8. Disputes / Governing Law
Entrants agree that: (1) any disputes relating to this Promotion will be resolved individually, without resort to class action, in the state or federal courts located in San Francisco County, California; (2) any claims will be limited to actual out-of-pocket costs; and (3) punitive, incidental, consequential, or multiplied damages are waived. All issues regarding construction, validity, and enforcement of these Official Rules are governed by California law without regard to conflict-of-law principles.
9. Publicity
Where permitted by law, acceptance of a prize constitutes permission for Sponsor to use a winner’s name and likeness for promotional purposes without additional compensation.
10. Terms & Privacy
Participation is subject to Gusto’s Terms of Service (https://gusto.com/about/terms) and Privacy Policy (https://gusto.com/about/privacy). If any conflict arises between these Official Rules and other Promotion-related materials, these Official Rules will govern.
11. Winners List
Sponsor will notify winners directly by email. Entrants may request a winners list by replying to the survey invitation email within 30 days of prizes being awarded to the winners.
