November 2023 Partner Promotion Terms – Silver

Accountants (each, a “Partner”) that (a) are enrolled in the Accountant Program, having accepted the Accountant Program Terms of Service and having met any eligibility criteria therein, (the “Accountant Program”) provided by Gusto, Inc. (“Gusto”) and (b) add New Clients (as defined below) to the Gusto payroll platform (the “Platform”) between November 27 and February 2, 2024 (the “Promotion Period”) are eligible to participate in this promotion (the “Promotion”). By participating in this Promotion, you agree to be bound by these terms (the “Promotion Terms”), the Accountant Program Terms of Service and the Gusto Terms. In the event of a conflict, the Promotion Terms will govern. Subject to these Promotion Terms, Partners will be eligible to receive a single ACH payment (the “Promotion Payout”) in accordance with the Promotion Payout Table included below, but in no case shall the Promotion Payout or invoice credit exceed $15,000. A “New Client” is a client of the Partner that: (i) has Enrolled in the Simple, Plus or Premium Plan (see Product Pricing) through the Partner’s “Add Client” screen in Gusto Pro (such enrollment, the “Enrollment” or being “Enrolled”); (ii) onboards three (3) employees or more at the time of enrollment and maintains three (3) employees or more as of February 29, 2024; (iii) has an Employer Identification Number that has not previously been used on the Platform; (iv) has paid employees through the Platform during the Promotion Period; (v) has remained active and/or not suspended their Gusto account through February 29, 2024; and (vi) remains a client of the Partner through which they Enrolled through February 29, 2024.
Promotion Payout Table
Partners will be eligible for a Promotion Payout to the extent that they reach a Promotional Threshold during the Promotion Period.

Promotional Payouts shall be sent via ACH within forty-five (45) days of the later of the following: (i) March 31, 2024, or (ii) the provision of a Form W-9 by Partner to Gusto. If Partner is unable or unwilling to receive a Promotional Payout, Partner may request to receive an alternative promotion in the form of complimentary Gusto payroll services in an amount equal to what the Promotional Payout would have amounted to. If Partner has elected either the Revenue Share Incentive or Volume Discount Incentive as part of their enrollment in the Accountant Program, New Clients added during the Promotional Period will count towards those incentives.
Partners must not participate in pay-per-click advertising on trademarked terms, including any derivations, variations or misspellings thereof, for search or content-based, campaigns on Google, MSN, or Yahoo. For the purposes of these terms, trademarked terms include Gusto, Gusto Payroll, Gusto HR, Gusto Benefits, Gusto Cashout, ZenPayroll, Gusto Coupon, Gusto.com and Buy Gusto (all keywords apply as a broad match).
Gusto may modify or terminate this Promotion or these Promotion Terms for any reason and at any time, at Gusto’s sole discretion, without notice. Gusto reserves the right to declare a New Client or a New Partner ineligible for the Promotion if Gusto determines that Partner is abusing the Promotion.
